1. Definitions<\/h2>

The following general terms and conditions apply to all sales of goods by Veroli Medax SRL<\/strong> and its partners, through the online store https:\/\/drolimpiuharceaga.ro<\/strong> to the Buyer and may be modified at any time by Veroli Medax SRL<\/strong> without prior notice.<\/p>

Thus, the following terms will mean:<\/p>

Buyer<\/strong> \u2013 a natural person \/ legal entity or other legal entity that issues an Order.<\/p>

Seller<\/strong> \u2013 Veroli Medax SRL<\/strong>, with the trade name Veroli Medax SRL<\/strong>, having its registered office in Str. Piata Republicii 23 Turda <\/strong>, CUI RO37891698<\/strong>, registration number with the Trade Registry J12\/4431\/04.07.2017<\/strong>.<\/p>

Goods<\/strong> \u2013 any product, including the documents and services mentioned in the Order, which are to be supplied by the Seller to the Buyer.<\/p>

Order<\/strong> \u2013 an electronic document that intervenes as a form of communication between the Seller and the Buyer, through which the Seller agrees to deliver the Goods and the Buyer agrees to receive these Goods and pay for them.<\/p>

Contract<\/strong> \u2013 an Order confirmed by the Seller.<\/p>

Intellectual Property Rights \u2013 all intangible rights such as know-how, copyright and rights in the nature of copyright, database rights, design rights, model rights, patents, trademarks and domain name registrations for any of the above.<\/p>

Site<\/strong> \u2013 the domain https:\/\/drolimpiuharceaga.ro<\/strong> and its subdomains.<\/p>

2. Contractual Documents<\/h2>

By placing an electronic Order on the website https:\/\/drolimpiuharceaga.ro<\/strong>, the Buyer agrees to the form of communication (e-mail, telephone) through which the Seller carries out its operations. The order will consist of the following documents: <\/p>

The order (together with clear mentions of delivery and invoicing data) and its specific conditions.<\/p>

Terms and conditions<\/strong><\/p>

If the Seller confirms the Order, this implies full acceptance of the terms of the Order. Acceptance of the Order by the Seller is considered finalized when there is an electronic confirmation (e-mail) from the Seller to the Buyer, without requiring an acknowledgment of receipt from the Buyer. The Seller does not consider an unconfirmed order as having the value of a Contract at any time.
The order confirmation is done electronically (e-mail). The prices of the products in the order are valid for 3 working days from the date of registration of the order. The general terms and conditions of sale will form the basis of the Contract thus concluded. <\/p>

3. Seller’s Obligations<\/h2>
  • The Seller will use its professional and technical knowledge to achieve the result stipulated in the Order and will deliver the Goods that meet the requirements and specifications of the Buyer expressed in the Order;<\/li>
  • The information presented on the Seller’s websites is for informational purposes and may be modified by the Seller without prior notice. The product descriptions may be incomplete, but the seller makes efforts to present the most relevant information so that the product is used within the parameters for which it was purchased; <\/li><\/ul>

    4. Intellectual and industrial property rights<\/h2>

    The User\/Buyer understands the right of intellectual property and will not disclose to a third party or make public any of the information received from the Seller.<\/p>

    All drawings, graphic and design elements that appear on the site, the name of the site as well as the graphic signs are registered trademarks owned by Veroli Medax SRL<\/strong> and may not be taken over, copied or used without the written agreement of the owner.<\/p>

    All content elements such as descriptions, drawings, graphic and design elements that appear on the site, including but not limited to logos, stylized representations, commercial symbols, static images, dynamic images, text and\/or multimedia content presented on the site, are the exclusive property of Veroli Medax SRL<\/strong>, which reserves all rights obtained in this regard directly or indirectly through licenses of use and\/or publication.<\/p>

    The User\/Buyer is not allowed to copy, distribute, publish, transfer to third parties, modify and\/or otherwise alter, use, link to, expose, include any content element above in any other context than the original one intended by Veroli Medax SRL<\/strong>, including any content element outside the Site, removing the signs that signify the copyright of Veroli Medax SRL<\/strong> on the content elements as well as participating in the transfer, sale, distribution of materials made by reproducing, modifying or displaying the content elements, except with the express written agreement of Veroli Medax SRL<\/strong>.<\/p>

    5. Rights over the content of the site<\/h2>

    The entire content of the site and the graphic elements, including but not limited to these, respectively all the content in text format, as well as the technical sources of all the present and future services and facilities \u2013 unless another owner is expressly mentioned \u2013 the sources of the pages but also any other material, transmitted in any form by and to Users (by direct viewing on the site, by newsletters, etc.) belong to Veroli Medax SRL<\/strong>.<\/p>

    The content of the site, regardless of the area in which it is located in the site and regardless of the type, can be used exclusively for personal purposes. Any use of content by third parties for purposes other than personal, can only be done with the written, express and prior agreement of Veroli Medax SRL<\/strong>. Therefore, it is forbidden to copy, take over, reproduce, publish, transmit, sell, partially, fully or modified distribute the content of this site or any part of it carried out for purposes other than personal, with the following exceptions: <\/p>

    (i) it is allowed to reproduce (on non-commercial sites, forums, press articles, etc.) small fragments from the published articles (max. 400 characters), being mandatory to specify the source of the information taken, with a link, in the following form: (Source: site name \u2013 link to the content of the site).<\/p>

    Users undertake to respect all copyright and all related rights and any other intellectual property rights that the Site Administrator and its partners hold over\/in connection with the site https:\/\/drolimpiuharceaga.ro.<\/p>

    Veroli Medax SRL<\/strong> reserves the right to sue any person and\/or entity that violates in any way the provisions above. Requests to use the content of the site for any purpose other than personal can be made by e-mail to mail @ Veroli Medax SRL<\/strong>.ro, with the specification \u201eFor the attention of the agency\u201d. <\/p>

    Any person who transmits or publishes in any way information or materials to the site assumes the obligation not to prejudice in any way the copyright that a third person could invoke in connection with the materials and information transmitted in any way to the site, and the persons who send in any way information or materials understand and accept that the violation in any way of this obligation cannot engage in any way the responsibility of Veroli Medax SRL<\/strong>, but only the responsibility of the respective persons.<\/p>

    Veroli Medax SRL<\/strong> may run at any time advertising campaigns and\/or promotions in any section of the site, without this operation requiring the agreement of the Users of the site. The spaces and size of advertising campaigns and promotions do not require the agreement of the Users of the site and can be changed at any time without requiring prior notice. <\/p>

    Veroli Medax SRL<\/strong> does not assume responsibility for damages or losses resulting from advertising campaigns or promotions organized on the site, other than those organized strictly on the site.<\/p>

    6. Limitation of liability of the site administrator<\/h2>

    Veroli Medax SRL<\/strong> does not assume the obligation and does not guarantee implicitly or expressly, for the content of the site, respectively for the content offered by its partners or by the Users of the site. However, Veroli Medax SRL<\/strong> will make all reasonable efforts to ensure the accuracy and professional manner in which the information will be provided on the site, in order to gain and maintain the trust of the Users in the site. In this sense, Veroli Medax SRL<\/strong> will try to correct as soon as possible the reported errors and omissions. <\/p>

    The site administrator does not offer any guarantees for the content of the site and in no situation can be held responsible for any loss or damage that could result from the use of any part\/sequence\/page of the site or from the impossibility of using it, regardless of its cause or from the erroneous interpretation of any provisions of the content of the site.<\/p>

The site administrator will make all the necessary diligences to correct these aspects as soon as possible. <\/p>

    Users understand and accept that Veroli Medax SRL<\/strong> does not guarantee:<\/p>

    • that the information contained on the site is fully complete;<\/li>
    • that the information entered by the Users of the website is real, correct and does not assume responsibility for the way in which visitors use them;<\/li>
    • that the information or services on the site will satisfy all the requirements of the Users, and for the inadequate use of these, the Users assume full responsibility;<\/li>
    • for the results obtained by Users as a result of using the information or services available through the site, the use of information and services being made by Users on their own responsibility;<\/li>
    • that the services available through the site will function constantly, uninterrupted, without errors \u2013 compared to this aspect, Veroli Medax SRL<\/strong> does not assume responsibility for any damages that Users could have due to the temporary or defective functioning of the site or for the use of information obtained by using the links on the site to other sites (their use is at the discretion of the Users).<\/li><\/ul>

      Also, Users understand and accept that Veroli Medax SRL<\/strong> is not responsible for any inaccuracies, errors or omissions in the information provided on the site by Users. At the same time, Users understand and accept that Veroli Medax SRL<\/strong> is absolved of any responsibility for the advertising messages posted on the site or through the services offered through the site, as well as for the goods or services provided by the authors of these advertising messages. Expressly, the Users of the site agree to exonerate Veroli Medax SRL<\/strong> from any judicial or extrajudicial action, which comes as a result of the incorrect or fraudulent use of the site. <\/p>

      For cases of force majeure, Veroli Medax SRL<\/strong> and\/or its operators, directors, employees, branches, subsidiaries and representatives, is totally exonerated from any liability. Cases of force majeure include, but are not limited to, malfunctions of the technical equipment of Veroli Medax SRL<\/strong>, lack of functioning of the internet connection, lack of functioning of telephone connections, computer viruses, unauthorized access to the Site’s systems, operating errors, etc. <\/p>

      Users agree to protect and ensure Veroli Medax SRL<\/strong> and\/or its operators, directors, employees, branches, subsidiaries and representatives from and against any claims, claims, actions, impositions, losses, damages, costs (including, without any limitation, attorneys’ fees), expenses, judgments, decisions, fines, regularizations or other obligations resulting from or related to any other action of the Users in connection with the use of the site or the services offered through it.<\/p>

      Veroli Medax SRL<\/strong> does not offer any guarantee, neither expressly nor implicitly, regarding including, but without limitation to the functioning of the site https:\/\/drolimpiuharceaga.ro, the information, content, materials or products on the site, as well as their suitability for a certain purpose. Users expressly agree that the use of this site and the application of information is done at their own risk. <\/p>

      7. Subscription of Users to newsletters and alerts<\/h2>

      The users of the site have the possibility<\/strong> to receive newsletters and alerts by e-mail, there being the possibility that the Users can opt at any time for the option of no longer receiving such notifications, with a single click on the unsubscribe link from the newsletter\/alert received on the mail entered explicitly at subscription.<\/p>

      Given that access to the products offered through the site is done through an active account, therefore based on a username and a password, we recommend Users that these elements should not be disclosed to third parties, even if they claim that they contact you from the site.<\/p>

                9. Billing and payments<\/h2>

                The price, payment method, and payment term are specified in the Order. The Seller will issue an invoice to the Buyer for the delivered Goods, with the Buyer’s obligation being to provide all information necessary for issuing the invoice in accordance with current legislation. <\/p>

                For proper communication of the invoice related to the Order, the Buyer has the obligations to update their account data whenever necessary and to access the information and documents related to each Order existing in the Account.<\/p>

                By submitting the Order, the Buyer expresses their agreement to receive invoices in electronic format via email, at the email address mentioned in their Account.<\/p>

                10. Responsibilities<\/h2>
                • The Seller undertakes to ship the Goods and Services by door-to-door courier to the Buyer.<\/li>
                • The Seller releases itself from the risks and responsibilities associated with the Goods and Services upon their delivery to the domestic courier company with which the Seller collaborates or to the Buyer’s representative.<\/li>
                • The Seller will ensure the proper packaging of the Goods and Services and will ensure the transmission of accompanying documents.<\/li>
                • The Seller shall not be liable for any damages of any kind that the Buyer or any third party may suffer as a result of the Seller’s performance of any of its obligations under the Order and for damages resulting from the use of the Goods after delivery and in particular for the loss of the products. The Seller shall be liable if its subcontractors and\/or partners of any kind involved in the execution of the Order fail to fulfill any of the contractual obligations.<\/li>
                • The Seller<\/strong> does not assume responsibility for product descriptions presented on the website. Images are presented on the website as examples, and delivered products may differ from the images and descriptions displayed on the website in any way, due to changes in characteristics and design without prior notification. The Seller<\/strong> reserves the right to complete and modify any information on the website without prior notification. <\/li>
                • The seller does not guarantee the availability of the displayed products in stock, which is why he will have the right not to deliver a certain order partially or in full if certain products no longer appear in the current offer or are not available.<\/li>
                • If prices or other details regarding the products were displayed incorrectly, including due to the fact that they were entered incorrectly in the database, the Seller reserves the right to cancel the delivery of the respective product and to notify the customer as soon as possible about the error that occurred, if the delivery has not yet been made.<\/li>
                • The seller is not liable for damages caused as a result of the site not functioning, as well as for those resulting from the impossibility of accessing certain links published on the site.<\/li>
                • The maximum amount of the Seller’s obligations to any customer in the event of non-delivery or improper delivery is the amount of the amounts collected by the Seller from that customer.<\/li>
                • Products sold on the website are intended for personal use, and their resale is strictly prohibited, according to the Tax Code.<\/li><\/ul>

                  11. Delivery of services (Provision of services)<\/h2>

                  The medical services offered through this site consist of online consultations, conducted remotely, through electronic communication means (e.g. video-call, telephone or dedicated platform).<\/p>

                  After making the appointment and confirming payment (where applicable), the consultation will take place at the date and time agreed upon with the patient.<\/p>

                  Access to the consultation is achieved through the link or instructions sent to the patient via email, SMS or other agreed communication channel.<\/p>

                  There are no delivery or transportation costs as the services are provided exclusively in digital\/remote format.<\/p>

                  If technical problems arise beyond the doctor’s control (e.g. internet connection, platform), the consultation will be rescheduled by mutual agreement.<\/p>

                  12. Acceptance<\/h2>

                  Acceptance will be made when the Goods conform to the technical characteristics mentioned in the Order. In case the Buyer discovers that the delivered Products do not conform to technical specifications, then the Seller will bring the Products into conformity. Also, for products sold and delivered by Veroli Medax SRL<\/strong>, the Buyer benefits from product return within 14 days. <\/p>

                  13. Transfer of ownership<\/h2>

                  Ownership of the Goods will be transferred upon delivery, after payment by the Buyer<\/strong> at the location indicated in the order (understanding by delivery \u2013 signing receipt of the transport document provided by the courier or signing receipt on the fiscal invoice in case of deliveries made by the Seller’s<\/strong> personnel). In case of courier delivery, the courier is not authorized by the Seller<\/strong> to allow the Buyer<\/strong> to open packages before signing delivery, but only after signing delivery and paying any countervalue thereof. <\/p>

                  14. Return \/ Cancellation<\/h2>

                  The patient has the possibility to cancel or reschedule the online consultation a certain interval before the scheduled time (for example, at least 24 hours), by contacting the doctor or using the cancellation method made available on the site.<\/p>

                  In case of cancellation within the mentioned period, the consultation fee can be:<\/p>

                  • fully refunded, or<\/li>
                  • rescheduled for another mutually agreed date.<\/li><\/ul>

                    If the cancellation occurs less than the stipulated interval before the consultation, or if the patient does not attend the online consultation (“no-show”), the amount paid may not be refunded.<\/p>

                    After the medical consultation has taken place, the service is considered rendered and is no longer eligible for return or refund.<\/p>

                    15. Personal data processing<\/h2>

                    To ensure compliance with website users’ right to personal data protection, we have implemented specific protection measures, taking into consideration Romanian legislation, as well as requirements established by Regulation (EU) 2017\/679 \u2013 applicable throughout the European Union starting from May 25, 2018 (“the Regulation<\/strong>“).<\/p>

                    Personal data represents any information through which you can be identified, particularly through an identification element such as a name, an identification number, location data, an online identifier or one or more elements related to your physical, physiological, genetic, mental, economic, cultural or social identity. <\/p>

                    Our company takes all necessary measures<\/strong> to ensure compliance with your right to personal data protection, and these conditions represent the notification<\/strong> established by art. 13 or 14 of the Regulation through which we explain why we collect your personal data, how we protect this data, as well as what your rights are in connection with this data collection. <\/p>

                    We encourage you to read the document carefully and to request any additional information or clarification you consider necessary regarding the content of this information.<\/strong><\/p>

                    a)<\/strong> General considerations regarding your personal data<\/span><\/h3>

                    In accordance with Regulation (EU) 2017\/679, Veroli Medax SRL<\/strong> will administer under secure conditions and only for specified purposes, the personal data provided by Users. Through Terms and Conditions, Users are informed that the personal data they provide will be processed for the purpose of optimally providing by Veroli Medax SRL<\/strong> internet services, goods and services provision services, advertising, marketing and publicity services, and statistical services. <\/p>

                    Veroli Medax SRL<\/strong> performs the following processing operations: collection, recording, organization, storage, adaptation, modification, extraction, consultation, use and, in some cases, transmission to third parties, based exclusively and regulated on a commercial contract that ensures data security and confidentiality, as well as respect for user rights, of personal data of website Users to administer, maintain, improve and obtain information regarding the services it offers, as well as to prevent errors and information leaks through its own IT network, violations of law or contractual terms.<\/p>

                    Personal data to be collected may be used, including through automatic profile creation (for those Users who have expressed explicit consent) and to personalize to the greatest extent possible the services offered to Users through the website as well as for marketing purposes. Automatic profile creation will not target minors’ data,<\/strong> their personal data not being processed for this purpose.<\/p>

                    Personal data will be provided by Users, at their own option, when creating a valid account on the website or subscribing to a service available on the website, to benefit from the services and products offered through it. When registering on the website, certain personal data are requested from the User, such as first and last name, gender, date of birth, email address, phone, profession, habits\/preferences\/behavior, as well as other personal information. <\/p>

                    The User is solely responsible<\/strong> for all data provided when creating the user account on the website. For data and account confirmation, the User will be notified at the email address declared when creating the account. This confirmation email serves to stop fraudulent actions by users who use other people’s email addresses to create fictitious accounts. If you receive such a message, under conditions where you have not personally registered on the website, please send us an email at contact@drolimpiuharceaga.ro<\/strong> to delete that account within maximum 3 working days. The email will contain, in pdf format, the current version of this Contract.<\/strong> <\/p>

                    The User’s profile form contains fields that can be edited if modification or completion of data provided when creating the account is desired.<\/p>

                    The User is not obligated to provide this data<\/strong>, it being necessary i) for records about website use and ii) for optimally providing services through it, for bringing promotional campaigns to attention, for advertising purposes, for personalized marketing and publicity actions and for User access to additional facilities. The User’s refusal to provide requested data determines non-participation in promotional actions organized through the website and non-use of facilities, additional services offered exclusively to Users with an account on this website. <\/p>

                    The website can be used even if the User decides not to create a profile<\/strong> by providing personal data, with exceptions established within the Cookie Policy<\/strong> (integral part of this Contract)<\/p>

                    According to Regulation (EU) 2017\/679 and Law no. 677\/2001, Users benefit from the right of access, intervention on data, the right not to be subject to an individual decision and the right to address justice. At the same time, Users have the right to oppose the processing of personal data concerning them and to request data deletion. <\/p>

                    To exercise these rights, Users can make a written request in this regard, which they will send by email to contact@drolimpiuharceaga.ro<\/strong> with the specification “Personal data request”.<\/p>

                    The site commits to not<\/strong> send spam messages (commercial messages for which it does not have the explicit prior consent of the User) and to undertake all accessible technical means to ensure the security and confidentiality of user data.<\/p>

                    The site reserves the right to terminate, without prior notice, the accounts and access of members who violate the Terms and Conditions, who engage in proven activities of fraud, defamation, or attacks on the security and confidentiality of information within the site or the company operating the site.<\/p>

                    b)<\/strong> Personal data we collect, the grounds for collection, and the purposes of collection<\/strong><\/h3>

                    Within the online communication relationship established between the site and the user, we collect and process your personal data, the collection and processing of such data being necessary for providing informational and promotional content to the user, following the voluntary completion by the user of personal data within the site, by accessing one or more of the following sections: account creation, account update, newsletter subscription, online questionnaire completion, online form completion, to obtain personalized information or commercial benefits within campaigns promoted on the site. <\/p>
